Terms of Service

Acceptance of Terms

By accessing or using KwikTix ("the Service", "Platform", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you and KwikTix. They apply to all users including event organisers ("Organisers"), ticket purchasers ("Customers", "Attendees"), and general visitors to our Platform.

Description of Service

KwikTix provides a software-as-a-service platform that enables Organisers to create, manage, and sell tickets for events. The Service includes:

  • Event creation and management tools
  • Payment processing through Stripe
  • Digital ticket distribution via email and digital wallets
  • QR code check-in system
  • Analytics and reporting dashboards
  • Team member and organisation management

KwikTix acts solely as a technology platform provider. We are not the seller, reseller, or organiser of any events listed on the Platform. All events are created and managed by independent Organisers.

User Accounts and Registration

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password confidential and secure
  • Immediately notify us of any unauthorised access or security breach
  • Be at least 18 years old or the age of majority in your jurisdiction

You are fully responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk.

Event Organiser Responsibilities

As an Organiser using our Platform, you acknowledge and agree that you are solely responsible for your events. You represent, warrant, and covenant that:

  • You have all necessary rights, licences, permits, and authorisations to create and sell tickets for your events
  • Your events comply with all applicable local, state, national, and international laws and regulations
  • All information provided about your events is accurate, complete, and not misleading
  • You will honour all ticket sales and provide the event as advertised
  • You will handle all customer service issues relating to your events
  • You will comply with all applicable tax laws and remit all required taxes
  • You will maintain appropriate insurance coverage for your events

You acknowledge that KwikTix has no control over the quality, safety, legality, or any other aspect of any event listed on the Platform. You release KwikTix from any and all liability arising from or relating to your events.

Fees and Payment Terms

Platform Fees: KwikTix charges a service fee per paid ticket sold, as displayed on our pricing page and in your account dashboard. This fee covers platform usage, payment processing, customer support, and technology infrastructure. Current pricing is available at kwiktix.co.uk/pricing.

Free Events: Events with free tickets (£0.00) incur no platform fees.

Fee Collection: Platform fees are deducted automatically from gross ticket sales before payout. You authorise us to deduct these fees and any applicable Stripe processing fees.

Payment Processing: All payments are processed through Stripe. By using the Service, you agree to Stripe's terms and authorise us to charge your customers' payment methods on your behalf.

Fee Changes: We reserve the right to modify our fee structure with 30 days' notice to existing users. New users will be subject to the current pricing at the time of registration. Continued use of the Service after fee changes constitutes acceptance of the new fees.

Currency Support: We support GBP, EUR, and USD. You must select your payout currency during account setup.

Payout Terms

Payout Eligibility: Payouts become eligible 7 calendar days after your event date. This holding period allows for:

  • Processing of refund requests
  • Resolution of payment disputes and chargebacks
  • Verification of event completion
  • Fraud prevention and security checks

Manual Payouts: Payouts are processed manually and are not automatic. You must initiate payout requests through your dashboard once funds become eligible.

Payout Calculation: Your payout equals gross ticket sales minus platform fees, Stripe processing fees, and any refunds issued.

Payout Holds: We reserve the right to hold, delay, or refuse payouts if:

  • Your account is under investigation for suspected fraud
  • There are unresolved disputes or chargebacks
  • Your event has been cancelled and refunds are pending
  • You have violated these Terms
  • Required verification documents are incomplete

Stripe Connect: Payouts are processed through Stripe Connect. You must maintain a valid Stripe Connect account in good standing to receive payouts.

Ticket Sales and Refunds

Refund Policies: Refund policies are set by individual Organisers. KwikTix facilitates refunds but does not determine refund eligibility. Each ticket type may have its own refund policy.

Refund Processing: Refunds are processed back to the original payment method. Processing fees (both platform and Stripe fees) are non-refundable unless required by law.

Event Cancellations: If an Organiser cancels an event, they are required to issue full refunds to all ticket holders. KwikTix will facilitate these refunds and may deduct already-paid platform fees from the Organiser's future payouts or charge their payment method on file.

Chargebacks: In the event of a chargeback, we reserve the right to:

  • Deduct the chargeback amount from your pending or future payouts
  • Charge your payment method on file for the chargeback amount
  • Suspend your account pending investigation

Customers acknowledge that tickets are purchased from the Organiser, not from KwikTix. All disputes regarding ticket purchases, event quality, or refunds must be resolved directly with the Organiser.

Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Create events for illegal activities or prohibited content
  • Engage in fraud, money laundering, or other financial crimes
  • Infringe intellectual property rights
  • Distribute malware or harmful code
  • Attempt to gain unauthorised access to the Platform
  • Reverse engineer or copy any portion of the Service
  • Use bots, scrapers, or automated tools without permission
  • Resell or transfer tickets in violation of event policies
  • Create fake or fraudulent events
  • Harass, abuse, or harm other users

Violation of these prohibitions may result in immediate termination of your account, forfeiture of all payouts, and potential legal action.

Intellectual Property

Platform Ownership: The Service and all its content, features, functionality, source code, and technology are owned by KwikTix and are protected by international copyright, trademark, patent, and other intellectual property laws.

Your Content: You retain ownership of all content you submit to the Platform (event descriptions, images, etc.). However, by submitting content, you grant KwikTix a worldwide, non-exclusive, royalty-free licence to use, display, reproduce, modify, and distribute your content solely for the purpose of operating and promoting the Service.

Licence Termination: This licence terminates when you delete your content or close your account, except for content shared with other users (such as issued tickets).

KwikTix Trademarks: "KwikTix" and related logos are trademarks of KwikTix. You may not use our trademarks without prior written permission.

Third-Party Services

The Platform integrates with third-party services including Stripe (payment processing), Supabase (data hosting), and digital wallet providers. Your use of these services is subject to their respective terms and conditions.

We are not responsible for the actions, policies, or availability of any third-party services. Any issues with third-party services must be resolved directly with those providers.

Disclaimers and Limitation of Liability

AS-IS Provision: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

No Warranties: We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Defects will be corrected
  • The Service is free of viruses or harmful components
  • Results obtained from the Service will be accurate or reliable

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, KWIKTIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM:

  • Your use of or inability to use the Service
  • Any conduct or content of third parties on the Service
  • Unauthorised access to or alteration of your data
  • Cancelled or poorly organised events
  • Payment processing delays or failures
  • Data loss or security breaches

Liability Cap: IN NO EVENT SHALL KWIKTIX'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT OF PLATFORM FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) £100 GBP.

Important: Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential or incidental damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless KwikTix, its affiliates, officers, directors, employees, agents, and partners from and against any and all claims, liabilities, damages, losses, costs, expenses (including reasonable attorneys' fees), arising from or relating to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your events, including injuries, property damage, or other losses occurring at your events
  • Content you submit to the Platform
  • Disputes between you and your customers or other users

This indemnification obligation survives termination of your account and these Terms.

Account Termination and Suspension

Our Rights: We may suspend, restrict, or terminate your account immediately, with or without prior notice, for any reason including:

  • Violation of these Terms
  • Suspected fraud or illegal activity
  • Excessive chargebacks or refunds
  • Failure to maintain valid payment information
  • At our discretion for any reason

Effect of Termination: Upon termination:

  • Your right to use the Service ceases immediately
  • Pending payouts may be held for up to 90 days
  • You must process all issued tickets and honour ticket sales
  • You remain liable for all obligations incurred before termination

Your Rights: You may terminate your account at any time by contacting support. You must fulfill all obligations to ticket holders before closing your account.

Dispute Resolution

Informal Resolution: Before initiating formal proceedings, you agree to first contact us at legal@kwiktix.co.uk to attempt to resolve any dispute informally.

Binding Arbitration: Any dispute that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the Centre for Effective Dispute Resolution (CEDR), except where prohibited by law.

Class Action Waiver: You agree to resolve disputes with us on an individual basis only. You waive any right to participate in class actions, class arbitrations, or representative actions.

Small Claims Court: Either party may bring an individual action in small claims court for disputes within that court's jurisdiction.

Consumer Rights: Nothing in this section affects any statutory rights that cannot be waived or limited by contract under applicable consumer protection laws.

Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in England, and you consent to personal jurisdiction and venue in such courts.

Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or through a prominent notice on the Platform at least 30 days before taking effect.

Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and close your account.

Miscellaneous

Entire Agreement: These Terms constitute the entire agreement between you and KwikTix regarding the Service.

Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.

No Waiver: Our failure to enforce any right or provision does not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.

Force Majeure: We are not liable for any failure or delay due to circumstances beyond our reasonable control.
